Terms of Service
Effective date: May 5, 2026
1. Overview
These Terms of Service ("Terms") govern your access to and use of Verbstack, a seller intelligence platform for Reverb sellers (the "Service"). Verbstack is owned and operated by Southnew Digital ("Southnew Digital," "we," "our," or "us"). These Terms apply to all visitors, registered users, and other users of the Service (collectively, "Members").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you cannot use our Service. Each time you use our Service, the current version of the Terms will apply. Accordingly, whenever you use our Service, you should check the date of these Terms (which appears at the top) and review any changes since the last version.
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference. By accessing or using our Service, you also agree to the Privacy Policy.
2. The Service
2.1 Service Description
Verbstack provides analytics, profitability tracking, inventory planning, customer intelligence, and competitive intelligence tools for sellers on the Reverb marketplace. The Service is delivered as a web application accessible through your browser, and may include optional companion tools such as a browser extension. The Service is not affiliated with, endorsed by, or sponsored by Reverb LLC or its parent companies.
2.2 Reverb Integration
Verbstack connects to your Reverb shop using OAuth credentials that you authorize. You are responsible for ensuring that your use of the Service complies with Reverb's own terms of service and developer policies. Reverb may, at its sole discretion, modify, restrict, or revoke API access at any time, which may degrade or disable parts of the Service. We are not responsible for changes Reverb makes to its platform, APIs, or terms.
2.3 Beta and Future Features
From time to time we may release beta, preview, or experimental features marked as such. These features are provided on an "as-is" basis, may be modified or discontinued without notice, and are not subject to any service-level commitments.
3. Member and Account
3.1 Member
By creating an account or otherwise accepting these Terms, you become a "Member". You represent that you have the authority to bind yourself or the entity you represent to these Terms. If you are accepting these Terms on behalf of an employer or business, you represent that you have authority to bind that entity.
3.2 Account Requirements
To register an account you must:
- Be at least 18 years of age;
- Provide a valid legal name and email address;
- Provide a valid payment method if you select a paid plan;
- Create the account manually, without the use of bots, scripts, or third-party automation;
- Comply with all applicable laws and these Terms.
3.3 Account Ownership and Security
The individual who creates the account is responsible for all activity under it, and must protect their login credentials. Sharing accounts is prohibited unless explicitly authorized by us in writing. You agree to notify us immediately at support@verbstack.com of any unauthorized use of your account or any other breach of security.
4. Acceptable Use and Communications
4.1 Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Service in any way that violates any applicable law or regulation, including the rights of any third party;
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service;
- Resell, sublicense, or otherwise commercially exploit access to the Service except through accounts and seats that you have paid for;
- Scrape, harvest, or extract data from the Service through automated means other than the API endpoints we expressly provide;
- Use the Service to send unsolicited messages, spam, or harmful content to buyers or other Reverb users;
- Interfere with, disrupt, or place an unreasonable load on the Service, our infrastructure, or our sub-processors;
- Use the Service to target buyers in ways that violate Reverb's policies, applicable consumer-protection laws, or anti-spam laws (including the CAN-SPAM Act);
- Misrepresent your identity, your shop, or your relationship with Verbstack.
4.2 Messaging and Communications
If you use the automation or messaging features of the Service to communicate with your buyers, you are the sender of those messages for purposes of CAN-SPAM, CASL, GDPR, and other applicable laws. You represent that (a) you have a lawful basis to contact each recipient; (b) all messages comply with applicable anti-spam, consumer-protection, and privacy laws; (c) every commercial message includes a working unsubscribe mechanism and accurate sender information; and (d) you will honor opt-outs surfaced through the Service. We may suspend access to messaging features without notice if we detect spam complaints, high bounce rates, blacklisting events, or other signals of abuse.
5. Subscription and Payment
5.1 Billing
The Service is offered through paid subscriptions billed monthly or annually, as well as a free tier. Paid subscriptions begin on the date you first provide a payment method or when your free trial ends, whichever is earlier, and renew automatically until cancelled. To avoid the next renewal charge, you must cancel your subscription before the next billing date.
5.2 Payment Processing and Merchant of Record
Payments are processed by Stripe, which serves as the merchant of record ("MoR") for your subscription. As MoR, Stripe is the legal seller of the Service to you, handles fraud screening and chargebacks, and is responsible for collecting and remitting any applicable sales tax, VAT, or GST. Verbstack receives the net proceeds. Your statement will show LINK.COM* Verbstack. We do not see or store your credit card numbers.
5.3 Payment Methods
You must provide a valid payment method to access paid features. If your primary payment method declines, Stripe may attempt to charge any other payment method you have provided. You remain liable for any unpaid amounts.
5.4 Free Trial
Verbstack offers a 14-day free trial that unlocks the full feature set. No payment is taken during the trial. At the end of the trial, your account will downgrade to the Free tier unless you have selected and paid for a plan. You may cancel the trial at any time without charge.
5.5 Cancellation
You may cancel your subscription at any time from your account settings or by emailing support@verbstack.com. Cancellation takes effect at the end of the current billing cycle; you will retain access to paid features through that period. We do not issue partial-period refunds for cancellation.
5.6 Changes to Pricing and Plans
We reserve the right to adjust pricing, modify plan structure, or move customers between plans based on usage patterns or business factors. Material changes to your current plan's pricing or feature set will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
5.7 No Refunds
All payments are non-refundable. We do not provide refunds, credits, or partial-period adjustments for any unused portion of a billing cycle, including when you cancel mid-cycle, downgrade, or stop using the Service.
5.8 Money-Back Guarantee
As a limited exception to Section 5.7, you may request a full refund within seven (7) days of your first paid charge by emailing support@verbstack.com. The money-back guarantee applies only to (a) first-time customers and (b) the first paid charge on the account. Renewals, subsequent charges, and previously-refunded customers are not eligible.
5.9 Taxes
Subscription fees are stated exclusive of any taxes, levies, or duties imposed by taxing authorities. Where Stripe acts as merchant of record, Stripe is responsible for collecting and remitting applicable taxes. In any other circumstance, you are solely responsible for paying all taxes associated with your purchase, except for taxes based on Verbstack's net income.
6. Customer Data
6.1 Data Ownership
You retain all rights, title, and interest in and to the data that you submit to the Service or that syncs from your connected Reverb shop ("Customer Data"). We claim no ownership of your Customer Data.
6.2 License to Operate the Service
You grant Verbstack a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, analyze, and process Customer Data solely as necessary to provide and improve the Service for you. This license terminates when you delete your Customer Data or close your account, except to the extent that we are required by law to retain certain records.
6.3 Data Export
During your subscription you may export Customer Data in machine-readable form (CSV, JSON) using export tools provided in the Service. On termination, you may request a final export by emailing support@verbstack.com within 30 days of termination, after which Customer Data will be deleted in accordance with the Privacy Policy. You are responsible for maintaining your own backups of any Customer Data important to you.
7. Intellectual Property
The Service, including all software, content, design, branding, trademarks, logos, and features (collectively, the "Verbstack IP") is owned by Southnew Digital and is protected by copyright, trademark, patent, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription. You may not copy, modify, distribute, sell, or republish any part of the Verbstack IP except as expressly permitted by these Terms.
Reverb, the Reverb logo, and other Reverb marks are the property of Reverb LLC. Verbstack's use of those marks for descriptive purposes does not imply affiliation, endorsement, or sponsorship.
8. Disclaimers
8.1 Service Provided “As-Is”
The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, non-infringement, or uninterrupted operation. We do not warrant that the Service will be error-free or that defects will be corrected.
8.2 Results Not Guaranteed
Verbstack provides analytics, estimates, and intelligence. These outputs are estimates, not guarantees, and may be inaccurate or incomplete. We make no guarantees concerning revenue, profit, sell-through, or any other business outcome. The Service is not financial, investment, tax, or legal advice. You are solely responsible for the business decisions you make based on the Service.
8.3 Third-Party Services
The Service depends on third-party platforms and providers, including Reverb, Stripe, Supabase, Vercel, Resend, and Sentry. We are not responsible for the availability, accuracy, content, or practices of any third-party service, and changes to those services may affect the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Verbstack and its officers, directors, employees, contractors, affiliates, and sub-processors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including without limitation loss of profits, revenue, data, or business) arising from or in connection with your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
Our total cumulative liability arising out of or relating to these Terms or the Service in any month, regardless of the form of action, is limited to the amount you paid us in the calendar month immediately preceding the event giving rise to the claim.
10. Indemnification
10.1 Indemnification by You
You agree to indemnify, defend, and hold harmless Verbstack and its officers, directors, employees, contractors, affiliates, and sub-processors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party (including Reverb, your customers, or other sellers); or (d) Customer Data you submit to the Service.
10.2 Indemnification by Verbstack
We will defend, indemnify, and hold you harmless from third-party claims alleging that your authorized use of the Service infringes a U.S. patent, copyright, or trademark. This obligation does not apply to claims arising from (a) Customer Data; (b) your combination of the Service with products we did not provide; (c) modifications you made to the Service; or (d) your continued use of the Service after we requested you stop because of an infringement claim. If the Service becomes the subject of an infringement claim, we may, at our option, modify the Service, procure a license, or terminate the affected feature and refund any prepaid unused fees.
11. Confidentiality
Each party may receive information from the other that is identified as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Each party agrees to use the same degree of care it uses to protect its own confidential information (and no less than reasonable care) to prevent the unauthorized use, disclosure, or publication of the other party's Confidential Information, and to use Confidential Information only as necessary to perform under these Terms. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party before disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is rightfully obtained from a third party without confidentiality obligations.
12. Privacy
Our collection, use, and disclosure of Personal Data are governed by our Privacy Policy, which is incorporated by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
13. Artificial Intelligence
Parts of the Service may use artificial intelligence, machine learning, or statistical models to generate insights, recommendations, and estimates. You acknowledge that AI outputs may be inaccurate, incomplete, or biased. You should independently verify any output before relying on it for material decisions.
You agree not to (a) input data obtained from the Service into any third-party AI system for the purpose of training, fine-tuning, or otherwise developing competing models, except for transient inference that is not retained by the third-party provider; or (b) use the Service to generate content that infringes the rights of others.
14. Termination
You may terminate your account at any time from your account settings or by emailing support@verbstack.com. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, harms other users or our partners, or exposes us to legal risk. Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination (including the sections titled Customer Data, Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will survive.
15. Compliance with Law and Export Controls
15.1 Compliance with Law
You represent and warrant that your use of the Service will comply with all laws, regulations, and third-party agreements applicable to you, including without limitation tax laws, consumer-protection laws, anti-spam laws, export-control laws, and Reverb's own terms. You agree to indemnify Verbstack for any breach of this representation.
15.2 Export Controls and Sanctions
You represent and warrant that (a) you are not located in, and will not access the Service from, a country subject to a U.S. government embargo or designated as a "terrorist supporting" country; and (b) you are not on any U.S. government list of prohibited or restricted parties (including OFAC's Specially Designated Nationals list).
16. International Users
The Service is operated from the United States. If you use the Service from outside the United States, you are responsible for compliance with applicable local laws. By using the Service, you consent to the transfer of your information to the United States.
17. Force Majeure
We are not liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or utility failures, or failures of third-party services on which the Service depends.
18. Governing Law
These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or to the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, the AAA Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in Northampton County, Pennsylvania, or another location agreed upon by the parties. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
You and Verbstack agree that disputes will be resolved on an individual basis only. Class actions, collective actions, and representative proceedings are not permitted.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or breach of confidentiality obligations.
20. Copyright Infringement (DMCA)
We respect the intellectual property of others. If you believe that material on the Service infringes your copyright, please send a notice that includes the following information to support@verbstack.com:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it;
- Your contact information, including your address, telephone number, and email address;
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.
Anyone who knowingly submits a materially false notice may be liable for damages.
21. Electronic Communications
By creating an account or using the Service, you consent to receive electronic communications from us, including emails, in-app notifications, and SMS messages (where you have provided a phone number). You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
22. Notice
We may give notice to you by email to the address most recently provided in your account, by in-app notification, or by posting on the Service. You may give notice to us by emailing support@verbstack.com or by mail to:

23. Changes to These Terms
We reserve the right to update or modify these Terms from time to time. If we make material changes, we will notify you by revising the "Effective date" at the top of these Terms, posting an announcement on the Service, or sending an email to the address you most recently provided us, prior to the new Terms taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
24. Miscellaneous
24.1 Assignment
You may not assign or transfer these Terms or any of your rights under them without our prior written consent. We may freely assign these Terms in whole or in part, including in connection with a merger, acquisition, financing, or sale of assets, provided that we will give notice of any assignment that materially changes your rights under these Terms.
24.2 Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision in the future.
24.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
24.4 Headings
Section headings are for convenience only and have no legal or contractual effect.
24.5 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Verbstack regarding the Service and supersede all prior or contemporaneous communications, whether oral or written.
